RWA Compliance and Regulation
Navigating securities rules in RWA secondary trading.
Regulatory Frameworks for RWA Secondary Trading
Secondary trading of tokenized assets often involves securities laws. Platforms must implement robust KYC/AML procedures and enforce transfer restrictions encoded in smart contracts.
Key Regulatory Areas
- Securities classification: Many tokenized real-world assets qualify as securities under applicable law, triggering registration or exemption requirements
- KYC/AML: Platforms must verify the identity of buyers and sellers and screen against sanctions and watchlists
- Investor accreditation: Access to many RWA offerings is limited to accredited or qualified investors
- Transfer restrictions: Securities laws may restrict who can purchase a tokenized asset and when
- Alternative Trading System (ATS) registration: In the US, platforms facilitating secondary trading of securities may need to register as an ATS
- Jurisdiction-specific rules: RWA platforms must navigate the laws of each jurisdiction in which they operate or accept investors
Smart Contracts and Compliance Automation
Many RWA platforms use smart contracts to automate compliance. Transfer restrictions, investor eligibility checks, and cap table updates can be encoded directly into the token logic. However, smart contracts are not a substitute for legal compliance — they are a tool to enforce rules that are defined off-chain.
Staying Current
Regulatory frameworks for tokenized assets are evolving. In the US, the SEC has provided guidance on digital asset securities. In Europe, MiCA and other frameworks are shaping the regulatory landscape. Always work with qualified legal counsel in each relevant jurisdiction.
